Terms of Service and User Agreement

1. Introduction and Acceptance of Terms

Welcome to the Platform ("Service", "we", "us", "our"). These Terms of Service ("Terms") govern your access to and use of our website, mobile application, APIs, and any related services. By creating an account, accessing, or using the Service, you ("User", "you") agree to be legally bound by these Terms. If you do not agree to these Terms, including the mandatory arbitration provision and class action waiver, you may not access or use the Service.

We reserve the right to modify these Terms at any time. We will provide notice of these changes by updating the "Last Updated" date at the top of these Terms. Your continued use of the Service after any such changes constitutes your binding acceptance of the new Terms.

2. Eligibility and Account Registration

By using the Service, you represent and warrant that:

• You are at least 13 years of age (or older if required by your country's laws to consent to the processing of your personal data).
• You have the full power and authority to enter into this agreement and doing so does not violate any other agreement to which you are a party.
• You are not prohibited from using the Service under the laws of the United States, the European Union, or any other applicable jurisdiction.

You are responsible for safeguarding your account credentials. You agree that you will not disclose your password to any third party and that you will take sole responsibility for any activities or actions under your account, whether or not you have authorized such activities. You must immediately notify us of any unauthorized use of your account.

3. User Conduct and Acceptable Use Policy

You agree not to misuse the Service. You are solely responsible for your conduct and any data, text, files, information, usernames, images, graphics, photos, profiles, audio and video clips, sounds, musical works, works of authorship, applications, links, and other content or materials (collectively, "Content") that you submit, post, or display on or via the Service. You agree strictly NOT to:

• Illegal Activities: Use the Service for any illegal purpose or in violation of any local, state, national, or international law.
• Harassment and Hate Speech: Harass, threaten, demean, embarrass, or cause distress to another user or entity. Content promoting violence, discrimination, hatred, or harassment against individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or age is strictly prohibited.
• Harmful Content: Post Content that is pornographic, violent, gory, or contains nudity or sexual activity involving minors (CSAM). We strictly enforce a zero-tolerance policy for CSAM and report all instances to relevant authorities.
• Impersonation: Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Spam and Manipulation: Distribute unsolicited commercial email ("spam"), use automated systems (bots) to artificially inflate engagement, or manipulate the Service's algorithms or trending topics.
• System Integrity: Interfere with or disrupt the Service or servers or networks connected to the Service, including by transmitting any worms, viruses, spyware, malware, or any other code of a destructive or disruptive nature.
• Data Mining: Access, tamper with, or use non-public areas of the Service, our computer systems, or the technical delivery systems of our providers. Scraping the Service without our prior written consent is expressly prohibited.

4. User Content and Intellectual Property

Your Ownership: You retain your rights to any Content you submit, post, or display on or through the Service. What’s yours is yours — you own your Content (subject to the license you grant us below).

License Grant to Us: By submitting, posting, or displaying Content on or through the Service, you grant us a worldwide, non-exclusive, royalty-free, fully paid-up, perpetual, sublicensable, and transferable license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such Content in any and all media or distribution methods (now known or later developed).

Scope of License: This license includes the right for us to:

• Make your Content available to the rest of the world and to let others do the same.
• Analyze your Content to provide, promote, and improve the Service.
• Syndicate, broadcast, distribute, or publish your Content on other media and services, subject to our terms and conditions for such use.
• Modify or adapt your Content in order to transmit, display or distribute it over computer networks and in various media and/or make changes to your Content as are necessary to conform and adapt that Content to any requirements or limitations of any networks, devices, services or media.

You represent and warrant that you have all the rights, power, and authority necessary to grant the rights granted herein to any Content that you submit.

5. Data Rights: AI Training, Third-Party Sales, and Monetization

Please read this section carefully. By using this Service, you explicitly acknowledge and consent to the following data practices regarding your Public Content:

5.1 Artificial Intelligence and Machine Learning (LLMs)

You explicitly grant the Platform, its affiliates, partners, and successors an irrevocable, perpetual, worldwide license to use any Content you make publicly available for the purpose of developing, training, testing, validating, fine-tuning, and improving Artificial Intelligence (AI) systems, Machine Learning (ML) models, generative AI technologies, and Large Language Models (LLMs). This includes, but is not limited to, the use of text, images, and metadata for pattern recognition, natural language processing, and content generation.

5.2 Data Monetization and Commercialization

We reserve the right to aggregate, anonymize, or directly license your Public Content. You acknowledge and agree that we may sell, license, lease, or otherwise transfer access to datasets containing your Public Content to third parties, including but not limited to:

• Academic and research institutions.
• Commercial AI laboratories and technology companies.
• Market research firms, hedge funds, and data brokers.
• Advertisers and marketing partners for sentiment analysis and trend forecasting.

Waiver of Compensation: You expressly waive any right to compensation, royalties, revenue share, or any other form of payment arising from the commercial use, sale, licensing, or monetization of your Public Content or any data, insights, or models derived from it.

5.3 Public Availability and Third-Party Scraping

You understand that Content you publish is public. We cannot control the actions of third parties (including search engines, archivists, researchers, and scrapers) who may access, copy, or cache your Public Content. We disclaim all liability for the use of your Content by third parties once it has been made publicly available.

6. Platform Liability and "Passive Conduit" Status

The Service acts merely as a passive conduit for the online distribution and publication of User-submitted information.

• No Duty to Monitor: We have no obligation to screen, monitor, or review User Content. We do not endorse, support, represent, or guarantee the completeness, truthfulness, accuracy, or reliability of any Content or communications posted via the Service.
• Immunity: Under Section 230 of the Communications Decency Act (and similar international laws), we are not the publisher or speaker of any information provided by another information content provider. We are not liable for any defamatory, offensive, or illegal conduct of any user.

7. Disclaimer of Warranties

YOUR ACCESS TO AND USE OF THE SERVICE OR ANY CONTENT IS AT YOUR OWN RISK.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM DISCLAIMS ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM, ITS PARENTS, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE;
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES;
• ANY CONTENT OBTAINED FROM THE SERVICE; OR
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

9. Indemnification

You agree to defend, indemnify, and hold harmless the Platform, its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:

• Your use and access of the Service, by you or any person using your account and password;
• A breach of these Terms;
• Content posted on the Service;
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right.

10. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.

11. Governing Law and Arbitration

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which the Platform operates, without regard to its conflict of law provisions. Any dispute arising from or relating to the subject matter of this Agreement shall be finally settled by arbitration in accordance with the Streamlined Arbitration Rules and Procedures of JAMS, Inc., rather than in court.

12. Severability and Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.
